Chapter Constitution and Bylaws Summary

Article I - Name of Chapter:  Atlanta Chapter of Association of Graduates

Article II - Membership:  Full membership eligibility only to graduates of USAFA; only full members can vote or hold office

Article III - Objectives:  1) Further ideals, objectives, heritage, activities, and well-being of USAFA and Cadet Wing; 2) promote public understanding of USAFA; 3) encourage worthy appointment candidates; 4) foster fellow camaraderie and brotherhood among graduates of USAFA

Article IV - Government:  Functional and financial executive power vested in the Board of Directors; Board consists of four officers, President, Vice President, Secretary and Treasurer, each of which is a Director, plus three other Directors

Article V - Finances:  Dues and other fund raising to be source of funds; expenditures authorized by President, subject to Board guidance; annual budget, annual audit

Article VI - Amendments:  Two thirds vote of membership (Note: bylaws require Chapter membership to be by $10 annual dues; this is distinguished from USAFA AOG membership.)  Proposals put to Chapter vote at Board's discretion; petition with signatures from 10 percent of Members shall be put to vote.

Article VII - Dissolution:  In event of dissolution, any funds in treasury to be donated to Air Force Academy fund.

Section I - Membership:  Members as defined in Constitution

Section II - Dues:  $10 per year; (Payment of dues is required for Membership in Chapter)

Section III - Organization:

Chapter year is March 1 through last day of February

Annual business meeting to be held within 60 days of year end. [i.e. in January or February]

Directors and Officers to be elected at annual meeting for a term of one year beginning March 1

Plurality of votes required for election. Quorum of Chapter Members present for meeting

Board to serve as nomination committee for successor candidates

Officer and Director duties prescribed:

Board: Meet quarterly; establish ad-hoc committees and Chapter offices; ; nominate chairmanships of ad hoc committees, ad hoc offices and successor directors; expel members when necessary;

President: CEO of Chapter; preside at Board and Chapter meetings; exofficio member of all Committees

Vice-President: Oversee all Committees, assist present and assume role in president's absence

Secretary: Keep minutes of meetings; maintain membership roster; maintain Chapter records

Treasurer: Maintain Chapter funds; report financial status at meetings; bill membership for annual dues; audit accounts; maintain financial records.

Standing Committees (to be chaired by non-officer Directors):

Program Committee - public relations, chapter library, chapter objectives, chapter records

Liaison Committee - liaison between all graduates

Membership Committee - current list of Members

Additional Committees:  established by Board and chairmanships by Board appointment

Section IV - Meetings: 

Annual business meeting per Section III of bylaws

Quorum is defined as 25 percent of Chapter Members

Order of business defined; Roberst Rules of Order apply

Other Chapter meetings may be called by President or by written request of 10 percent of Members

Section V - Changes or Amendments:  Require two thirds vote of full board

Section VI - Charter Members:  Members as of June 1, 1986
